Terms of Service

1. Acceptance of Terms

Welcome to Diligent4 ("we," "our," or "us"). By creating an account, accessing, or using our web application available at flingoos.diligent4.com and flingoos.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Diligent4 provides a procedural database solution designed to make organizational knowledge executable. The Service includes tools for:

• Recording screen and audio workflows for documentation purposes.
• Generating AI-powered analysis and structured workflow data.
• Managing and storing organizational knowledge.
• Integrating with third-party platforms via API.

We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice.

3. Accounts and Registration

Account Creation

To use certain features of the Service, you must register for an account using a valid email address or Google Authentication. You agree to provide accurate, current, and complete information during the registration process.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. Diligent4 is not liable for any loss or damage arising from your failure to protect your account.

Organization Accounts

If you are using the Service as an invited member of an Organization, your access is subject to the control of the Organization's administrators. They may have the ability to access, monitor, use, or disclose data available to you within the Organization's workspace.

4. User Content and Recordings

Ownership

You retain all rights and ownership of the content you create, upload, or generate using the Service, including screen recordings, voiceovers, workflow documents, and text ("User Content").

License to Diligent4

By submitting User Content, you grant Diligent4 a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, process, analyze, transform, aggregate, and display such User Content for the purposes of operating, maintaining, improving, developing, and providing the Service, as well as any current or future products, features, or services offered by Diligent4.

This license includes the right to process User Content through automated, algorithmic, and AI-based systems in order to generate workflows, metadata, summaries, insights, models, analytics, and other derivative outputs.

You further grant Diligent4 the right to share such workflows, metadata, summaries, insights, models, analytics, and other derivative outputs with third-party AI platforms, agents, tools, or service providers, as authorized by you or by the organization with which you are associated, without requiring separate consent for each individual use.

Diligent4 will not sell or otherwise commercialize your raw User Content as standalone data. However, Diligent4 may use such User Content, and any derivative outputs generated from it, to enhance, train, improve, and develop its products and services, whether for your benefit, for the benefit of other customers, or for Diligent4's broader platform, provided that such use is consistent with this Agreement.

As between the parties, you retain all ownership rights in and to your User Content.

Diligent4 retains all rights, title, and interest in any aggregated, anonymized, or derived data, workflows, models, analytics, insights, and outputs generated by or through the Service.

For clarity, any aggregated or anonymized data used by Diligent4 will not reasonably identify you, your organization, or any individual user.

5. Acceptable Use

Prohibited Content and Conduct

You agree not to use the Service to record, upload, transmit, or otherwise process any content, or engage in any conduct, that:

• Infringes, misappropriates, or violates the intellectual property, privacy, publicity, or other rights of any individual or entity.
• Contains personal data, sensitive personal data, or confidential information (including, without limitation, financial information, health data, biometric data, or government-issued identifiers).
• Uses any screen recording, audio recording, video recording, or camera-based features of the Service to record individuals without their knowledge and consent.
• Records individuals, conversations, screens, or physical environments without proper notice and written consent.
• Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, sexually explicit, violent, or otherwise inappropriate or offensive.
• Facilitates or promotes discrimination, hate, or harassment based on protected characteristics.
• Is used for surveillance, monitoring, or tracking of individuals in a manner that is covert, deceptive, or otherwise unlawful.
• Is used in environments where recording is prohibited or restricted (including, by way of example, restrooms, changing rooms, medical facilities, or other sensitive locations).
• Contains software viruses, malware, or other malicious code, or is designed to interfere with, disrupt, or compromise the security or integrity of the Service or any system or data.
• Violates any applicable law, regulation, contractual obligation, workplace policy, or third-party rights.

You acknowledge and agree that you are solely responsible for all raw materials, recordings, and other content that you upload, record, or submit through the Service, and that you will refrain from using the Service in any manner that violates this section or applicable law.

6. AI and Automated Output

The Service utilizes artificial intelligence, machine learning, and automated systems ("AI") to analyze recordings and generate workflows, documentation, metadata, insights, and other outputs.

You acknowledge and agree that:

• AI-generated outputs are inherently probabilistic and may contain errors, omissions, inaccuracies, or misleading information, including content that may appear plausible but is incorrect.
• All AI-generated workflows, instructions, documentation, and insights are provided for informational and assistive purposes only and do not constitute professional, legal, financial, operational, or compliance advice.
• You are solely responsible for reviewing, validating, testing, and approving any AI-generated outputs before relying on them or implementing them in your business operations.
• You assume all risk associated with the use of, or reliance on, AI-generated outputs, including any decisions, actions, or omissions taken based on such outputs.

Diligent4 makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of any AI-generated outputs, and disclaims all liability arising from your use of or reliance on such outputs.

To the maximum extent permitted by applicable law, Diligent4 shall not be liable for any damages, losses, or claims arising from or related to:

• Errors, inaccuracies, or omissions in AI-generated workflows, documentation, or insights;
• Decisions, actions, or business outcomes based on AI-generated outputs;
• Loss of data, corruption of data, or failure to store, retrieve, or process data;
• Unauthorized access, data leakage, or security incidents involving User Content or AI-generated outputs;
• Any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, or business interruption, even if Diligent4 has been advised of the possibility of such damages.

7. Intellectual Property

The Service, including its "look and feel" (e.g., text, graphics, images, logos), proprietary content, information and other materials, are protected under copyright, trademark, and other intellectual property laws. You agree that Diligent4 and/or its licensors own all right, title and interest in and to the Service (excluding your User Content).

8. Beta Services

We may identify certain features or the entire Service as "Beta," "Early Access," or "Evaluation." These services:

• Are provided "as is" and may contain bugs or errors.
• May be subject to data loss.
• May be discontinued at any time.

Diligent4 will have no liability for any harm or damage arising out of or in connection with a Beta Service.

9. Data Security Obligations

Diligent4 shall maintain administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of personal data processed by the Service, consistent with industry standards and applicable law.

10. Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DILIGENT4 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF USE, OR INTERRUPTION OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SERVICE.

THE AGGREGATE LIABILITY OF DILIGENT4 ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DILIGENT4 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Diligent4 and its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Tel Aviv, Israel.

Users consent to processing in accordance with applicable laws including the Protection of Privacy Law and related regulations. Your use of the Service is also governed by Diligent4's Privacy Policy, which explains what data we collect, how we use it, user rights, and how to exercise them.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
